SEDAR & SEDI filings
The System for Electronic Document Analysis and Retrieval (SEDAR) and the System for Electronic Disclosure by Insiders (SEDI) are electronic services that help issuers and their agents with filing and reporting.


CDS Innovations offers subscribers direct-source information on all Canadian public company, investment fund and insider trading filings. The information is derived from the System for Electronic Document Analysis and Retrieval (SEDAR®) and from the System for Electronic Disclosure by Insiders (SEDI®).

SEDAR-SCRIBE

Public company and investment fund filings
CDS Innovations delivers public company and investment fund data from SEDAR as soon as the relevant filings become publicly available. The data are distributed in near real-time and comprises the following components:

  • the original filing in PDF format
  • a text conversion of the filed document, which includes a header file that facilitates the classification and integration of filed information into subscribers’ systems and services
  • a control file that serves as notice of changes in the status of filed information.

CDS Innovations will customize its filing services to meet subscribers’ needs and offers subscribers the option of receiving all filings submitted by issuers, or a subset, such as files by industry, by company classification, or by filing type.

  • tender offers
  • mergers and acquisitions
  • proxy materials
  • initial public offerings
  • offering circulars
  • continuous disclosure documents
      o news releases
      o financial statements
      o notices of meeting dates
      o annual reports
      o management discussions.
CDS Innovations also offers an archive of the more than 1.5 million documents stored in the SEDAR system since it was launched in 1997 that subscribers can use to conduct historical review and trend analysis.

Distribution system
CDS Innovations uses its proprietary SCRIBE feed to transmit data on Canadian public companies and investment funds worldwide.



SEDI-SCRIBE

Insider filings
Provincial securities laws require insiders to report all trades in SEDI. Disclosure regulations govern both individual and institutional insiders and encompass a comprehensive range of security designations.

SEDI data includes:
  • Transaction ID
  • Date of transaction
  • Date of filing
  • Ownership type and registered holder
  • Security designation
  • Nature of transaction
  • Number or value acquired or disposed of
  • Unit price or exercise price
  • Balance of securities held as of transaction date
  • Conversion or exercise price
  • Date of expiry or maturity
  • Underlying security designation
  • Equivalent number of underlying securities acquired or disposed of Closing balance of equivalent number or value of underlying securities
  • Closing date (date of report)
  • Transaction state
  • Issuer name
  • Stock symbol
  • Security designation
  • Insider name
  • Insider relationship to issuer
  • Insider disagreed with system-calculated balance
  • Foreign currency for unit price or exercise price
Distribution system
CDS Innovations delivers insider information electronically to commercial users though SEDI-SCRIBE, the only comprehensive wholesale source of filings on holdings and transactions by Canadian public company insiders. Currently the system has over 30,000 active users filing for almost 50,000 insiders and 6,400 issuers. Every month an average of 20,000 insider reports are filed on SEDI and made available to the general public. The public downloads over 700,000 insider transaction detail reports monthly, as well as over 25,000 insider information by issuers reports.
